Terms of Service

These Terms of Service ("Terms") govern the use of Eduiey. They apply to the institution that uses Eduiey and to everyone who signs in: administrators, staff, students and parents.

1. Who these Terms are between

Eduiey ("Eduiey", "we", "us") is an education software service run from Sector 27, Gurugram, Haryana 122002, India. When Eduiey is registered as a company, a new version of these Terms will name that company.

The "Institution" is the school, college, coaching centre or other organisation that uses Eduiey, with all its organisations on Eduiey. When its administrator accepts these Terms, the Institution accepts them, and the administrator confirms they are authorised to do so. "You" means each person with an account. These Terms are between Eduiey and the Institution, and separately between Eduiey and you.

Our Privacy Policy, and for the Institution our Data Processing Agreement ("DPA"), form part of these Terms.

2. Accepting these Terms

You accept these Terms by ticking the box and choosing Accept in Eduiey. We record the version, a fingerprint of its text, the time, your IP address and your device. An acceptance in the app is as binding as a signature. If you don't accept, you can't use Eduiey.

Each version has a number and a date. When we publish a version that everyone must accept, you are asked before you carry on. Small corrections apply when published, and you are told about them.

If you are under 18, a parent or guardian must consent to your account; until they do, you may use Eduiey only for the grace period the Privacy Policy describes. A parent or guardian who approves a child's account in Eduiey also agrees to these Terms for the child. Where the Institution records a parent's consent instead, the Institution is responsible for having the parent's agreement.

3. What Eduiey is

Eduiey is software that helps institutions manage people, classes, attendance, exams, fees, payroll, communication, admissions, campus services and placements. The Institution chooses the features it uses. Eduiey is a tool: it doesn't make decisions about any student or staff member, and it isn't educational, financial or legal advice. Eduiey is under active development, so features may change, be added or be withdrawn.

4. Accounts

There is no public sign-up; the Institution creates accounts. Keep your password secret. You are responsible for what is done with your account. Tell the Institution's administrator and support@eduiey.com at once if you think someone else has used it.

Your account exists because of your relationship with the Institution, which may deactivate it or erase your details. If you belong to more than one institution, you have a separate record at each.

5. The Institution's responsibilities

The Institution is the Data Fiduciary for its records under the Digital Personal Data Protection Act, 2023 (the "Act"). It must:

  • have a lawful basis under the Act for the personal data it puts into or collects through Eduiey, and publish its own privacy notice in Eduiey;
  • obtain verifiable consent of a parent or guardian before a child's data is processed, where the law requires it. Eduiey provides the tools: a linked parent's approval in the app, recording a consent the Institution holds, and a declaration that all its learners are 18 or older. The Institution must keep dates of birth and parent links accurate, and make that declaration only if it is true;
  • keep its data accurate and give its staff only the access they need;
  • keep administrator accounts secure, and deactivate people who should no longer have access;
  • answer its people's requests and complaints about its records, using the tools in Eduiey;
  • accept the DPA through an authorised administrator;
  • comply with the laws that apply to it, including on keeping records; and
  • take responsibility for data its staff export or download.

6. Acceptable use

You must not use Eduiey to host, display, upload, change, publish, send, store or share anything that:

  • belongs to someone else and that you have no right to share;
  • is defamatory, obscene, pornographic, paedophilic, invasive of another person's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or promotes enmity between groups;
  • is harmful to children;
  • infringes a patent, trademark, copyright or other proprietary right;
  • deceives or misleads anyone about where a message came from, or knowingly spreads false or misleading information;
  • impersonates another person;
  • threatens the unity, integrity, defence, security or sovereignty of India, its relations with other countries or public order, incites an offence, or obstructs an investigation;
  • contains a virus or other harmful code; or
  • breaks any law.

You also must not try to access data you aren't allowed to see; probe, scan, overload or get around Eduiey's security; copy, resell or reverse-engineer Eduiey; extract data at scale by automated means; or give false information, impersonate anyone, or make false or frivolous complaints.

Anyone can report a message in the app to their Institution's administrators, who may remove it. If these rules are broken, we may remove the content and suspend or end the account at once, or in serious cases the Institution's access. Where we can, we tell the Institution first. We may keep removed content and related records for 180 days, or longer if the law or an authority requires, for investigation.

7. The AI assistant

If the Institution's plan includes it, the AI assistant acts as you: it sees only what you can see, and asks you to confirm before changing anything. Its answers can be wrong or incomplete, so check anything important before relying on it. People, not the assistant, make decisions about marks, admissions, fees, discipline and employment. For students it explains and gives hints, and won't do graded work. Question limits may apply. The Privacy Policy explains how your data is handled.

8. Fees and payments

Fees for Eduiey itself are as agreed in writing (email is enough) between Eduiey and the Institution, plus any taxes such as GST. If fees due are unpaid, we may suspend the Institution's access after at least 15 days' notice.

Fees that students or parents pay the Institution go to the Institution's own payment-provider account (Razorpay in India, Stripe elsewhere), on that provider's terms. Eduiey is not a party to these payments and doesn't receive or hold the money. Refunds, disputes and receipts are for the Institution; Eduiey can't reverse a payment. Salaries sent through Eduiey go from the Institution's own RazorpayX account, and the Institution is responsible for the payouts it approves.

9. Availability

We work to keep Eduiey running and your data safe, but we don't guarantee any level of uptime, or that Eduiey will be free of errors or interruptions. The Institution should keep its own copies of records it can't afford to lose. Support: support@eduiey.com.

10. Data protection

Eduiey processes the Institution's records on its behalf, as set out in the DPA and the Privacy Policy. If these Terms and the DPA differ on data protection, the DPA prevails.

11. Intellectual property and your content

Eduiey owns the software, its design and the Eduiey name. While you have an account, you may use Eduiey for the Institution's purposes.

You and the Institution keep ownership of what you upload, and give us the limited right to store, process and show it as needed to run Eduiey for the Institution. You must have the right to upload it. If you send us ideas or feedback, we may use them freely.

12. Suspension and ending

The Institution may stop using Eduiey at any time by telling us in writing. We may end the service for an Institution on 30 days' written notice, refunding fees paid for the period after the end. We may suspend or end access at once if these Terms are seriously broken, if the law requires it, or if continuing would put security at risk.

When the Institution's use ends, it may ask for a copy of its data within 30 days after the end, and we provide it within 30 days of the request. We delete its data within 60 days after the end, and backup copies within 90 days, except consent records, the audit trail (kept for one year after the end) and anything the law requires us to keep. Our team does this by hand.

13. Disclaimers

Eduiey is provided "as is" and "as available". To the extent the law allows, we make no promise that it suits a particular purpose beyond what these Terms, the Privacy Policy and the DPA say. Nothing in these Terms takes away rights you have by law.

14. Limitation of liability

Except under section 15, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business or goodwill.

Eduiey's total liability to the Institution, under these Terms and the DPA together, for all claims arising in any 12 months is limited to the fees the Institution paid Eduiey for the service in the 12 months before the claim arose. Where nothing was paid, and to individual users, who pay Eduiey nothing, Eduiey has no liability except what the law doesn't allow to be excluded.

These limits don't apply to fraud, or to anything else the law doesn't allow to be limited.

15. Indemnity

The Institution will make good Eduiey's losses, penalties, claims and reasonable legal costs arising from: personal data the Institution or its staff put into or collected through Eduiey without a lawful basis, the required notice or the required consent (including a parent's); content its users upload; or its breach of these Terms, the DPA or the law. This doesn't apply to the extent the loss was caused by Eduiey's breach.

16. Transfer to a company

We may transfer these Terms, the DPA and the processing under them to a company or LLP set up to run Eduiey, which will take on the same obligations. We will tell the Institution in writing or in the app. If the Institution objects, it may end its use of Eduiey by telling us within 30 days of our notice; otherwise the transfer takes effect as notified. The Institution may transfer its rights only with our written consent.

17. Grievance Officer

Under the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, our Grievance Officer is Anirban De: support@eduiey.com, +91-9383169659, Sector 27, Gurugram, Haryana 122002. We acknowledge complaints within 24 hours and resolve complaints under these Rules within 15 days, or within 72 hours if you ask us to remove content that breaks section 6 (other than a claim about ownership or intellectual property). If content exposes someone's private areas, shows nudity or a sexual act, or impersonates someone (including altered images), we act within 24 hours of the complaint to remove it or disable access to it. You may appeal our decision to the Grievance Appellate Committee within 30 days. Requests about personal data are handled as the Privacy Policy explains, and privacy complaints may also go to the Data Protection Board of India.

18. Changes

We may update these Terms as the law or Eduiey changes. For a change that materially reduces the Institution's rights, we give at least 30 days' notice in the app or by email, unless the law or security requires sooner.

19. General

If part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't giving it up. Neither party is liable for delay caused by events beyond its reasonable control. Notices to the Institution go to its administrators in the app or by email; notices to us go to support@eduiey.com. These Terms may also be shown in Hindi and Bengali; if a translation and the English version differ, the English version prevails.

20. Governing law

These Terms are governed by the laws of India, and the courts at Gurugram, Haryana have exclusive jurisdiction. This doesn't limit your right to complain to the Data Protection Board of India or to any other forum the law gives you.
